These 24/7 Commercial Vehicle Assistance and Support Service Terms (“24/7 Terms”) incorporate the current published TRANSPO ASSIST, LLC Terms of Use in their entirety.
24/7 ASSIST TERMS AND ACCESS
Users accessing the 24/7 Commercial Vehicle Assistance and Support Service (“24/7 Assist”) are subject to these additional terms and conditions (“24/7 Terms”). These 24/7 Terms incorporate the current published TRANSPO ASSIST, LLC (“Company” or “WE”) Terms of Use, as amended from time to time, in their entirety https://www.transpoassist.com/terms-and-conditions/ (“TA TofU”). In the event there is a conflict between these 24/7 Terms and the TA TofU, these 24/7 Terms shall control.
The extent of your authority to access and use 24/7 Assist will vary according to your role and responsibilities. A “User” (or “You”) is any individual who uses the Platform with due authority to do so. A “Subscriber” is a User who pays a subscription fee to access 24/7 Assist or other services available on the Platform. A “Service Provider” is a third-party affiliate that offers products or services to commercial vehicle operators or truck drivers, repairs commercial vehicles, or offers other services, products or support to the trucking industry (e.g. lodging, insurance, scales, washing, cross docks, parking, etc.), and the Platform is utilized by Service Provider to offer services and products to Subscribers. Users’, Subscribers’ and Service Providers’ right to access the Platform is non-exclusive, non-transferable, and subject strictly to these 24/7Terms.
24/7 ASSIST SERVICE TO SUBSCRIBERS
The timesaving 24/7 Assist provides Subscribers around the clock 1-877-777-5872 concierge service telephone support on Subscribed Vehicles through 1-877-777-5872. Our concierge service team will schedule and coordinate service requests on Subscribed Vehicles with our stable of Service Providers in a timely manner. Subscribers may also request 24/7 Assist support through our website at concierge@transpoassist.com. The Company makes the following commitment (“Service Promise”). We will process your 24/7 Assist request submitted to us within two (2) hours after we have received the request for processing and follow-up within the two (2) hour timeframe with a response.
The following 24/7 Assist offering are made available at this time:
Subscription and Fee. Your 24/7 Assist subscription starts when we receive payment. Each vehicle covered under a 24/7 Assist subscription must include a VIN# at the time of payment (“Subscribed Vehicle”). You may have multiple Subscribed Vehicles under your Subscriber account. Each 24/7 Assist subscription continues for one (1) year on each Subscribed Vehicle. You will have the option to renew your 24/7 Assist subscriptions automatically for additional one (1) year terms upon your agreement and upon auto-payment of the renewal fee. We may change the 24/7 Assist subscription fee at any time in our discretion and without advance notice, but any change will apply only to new (or renewed) subscriptions beginning after the effective date of the change. You may obtain a full refund within twenty (20) days of your 24/7 Assist subscription payment, provided there has been no support activity on the Subscribed Vehicle and you request the refund within the twenty (20) day period, by phone at (1-877-777-5872) or emailing us at (concierge@transpoassist.com).
ONLINE PAYMENT
We only accept payments online, through a service provided by Elavon/Converge. We are not affiliated with Elavon/Converge and do not control it. The Company shall not be liable for any errors or omissions by Elavon/Converge, including interception or disclosure of your personal information. Elavon/Converge service is subject to its Privacy Policy, currently available at https://www.elavon.com/privacy-policy.html.
THIRD-PARTY GOODS AND SERVICES
The fees charged by Service Providers to Subscribers are separate and in addition to the 24/7 Assist subscription fee a Subscriber pays upon registration or renewal of your 24/7 Assist subscription and other applicable service fees.
Privacy. Any information received and stored by Company is subject to Company’s Privacy Policy. Any information provided to a Service Provider shall be subject to the Service Provider’s privacy and security policies and procedures. Company makes no representation or warranty with respect to a Service Provider’s policies, procedures, warranties, quality of work and shall not be held responsible or liable for any data use or privacy or security breach of your information provided to or otherwise maintained by a Service Provider.
TERM AND TERMINATION
Term. The 24/7 Assist subscription term is one (1) year, beginning when we receive the Subscriber’s payment for the 24/7 Assist subscription. Subscribers may elect to renew their 24/7 Assist subscription automatically. We will send the Subscriber notice at least thirty (30) days, but no more than sixty (60) days, in advance of the 24/7 Assist subscription renewal date, reminding the Subscriber of the upcoming renewal date and providing information on how not to renew if the Subscriber so wishes.
Termination. We may terminate or modify these 24/7 Terms and a User’s ability to use or access the Platform at any time, for any reason, and without prior notice. A User may also terminate this Agreement at any time, for any reason, by (1) discontinuing all access and use of the Platform, (2) returning any materials belonging to us, and (3) destroying all content (including all copies and installations) obtained from it (except to the extent you must or may retain it under applicable law).
Events upon Termination. Upon expiration or termination, a User shall no longer access or use the Platform, except as may be required by law. We may retain content and data for our legitimate purposes. Terms relating to ownership, confidentiality, your representations and warranties, our disclaimers, limitations of liability, indemnification, governing law and venue, dispute resolution, and such other provisions as by their terms or nature should survive expiration or termination, shall so survive.
MISCELLANEOUS
No joint venture, partnership, fiduciary, or agency relationship exists between Company and any User or third-party entity, and nothing in these 24/7 Terms or any other documentation referenced herein shall be construed to create such a relationship. No User or third-party entity has any authority whatsoever to make any statement, representation, or commitment of any kind on behalf of the Company, to bind the Company to the performance of any duty, or to accept any responsibilities on behalf of the Company. If any of these 24/7 Terms are determined to be void or unenforceable, they will be deemed severed and the rest will continue to be enforceable. This is the entire agreement relating to the subject matter herein and may not be modified except in writing signed by the Company.
